Business Terms of Service 

 Welcome to the Instu (“Instu”).  

These Terms of Service (“Terms”) govern your use of our services to list business details, offers, discounts, and events on our website and mobile app platform (“Platform”). By creating an account and listing your business, you agree to these Terms. 

  1. Acceptance of Terms

By registering an account with the Platform and listing your business details, offers, and services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use the Platform. 

  1. Eligibility

To create an account and list your business on the Platform, you must: 

  • Be a registered business in the UK. 
  • Have the authority to enter into these Terms on behalf of your business. 
  • Provide accurate and complete information during the registration process and maintain the accuracy of such information. 
  1. Account Registration

You must create an account to list your business on the Platform. During registration, you agree to: 

  • Provide accurate, current, and complete information about your business. 
  • Maintain and promptly update your account information to keep it accurate, current, and complete. 
  • Maintain the security of your account and notify us immediately of any unauthorized use or breach of security. 
  • Take responsibility for all activities that occur under your account. 
  1. Business Listings

By listing your business details, offers, discounts, and events on the Platform, you agree to: 

  • Provide accurate and truthful information about your business and offers. 
  • Ensure that all offers, discounts, and events are lawful and comply with all applicable laws and regulations. 
  • Update and maintain the accuracy of your listings regularly. 
  • Not list any content that is misleading, defamatory, obscene, or otherwise inappropriate. 
  1. Prohibited Activities

You agree not to: 

  • Use the Platform for any unlawful purpose or in violation of any local, state, national, or international law. 
  • Post or transmit any content that infringes the rights of third parties, including intellectual property rights. 
  • Engage in any activity that could harm or interfere with the operation of the Platform or the use of the Platform by others. 
  • Use the Platform to distribute unsolicited promotional or commercial content (spam). 
  1. Intellectual Property

You retain ownership of all content you submit to the Platform. By submitting content, you grant the Platform a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, modify, display, and distribute your content in connection with the Platform. 

  1. Termination

We reserve the right to terminate or suspend your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Platform or third parties, or for any other reason. 

  1. Disclaimers and Limitation of Liability

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. 

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Platform.

You agree to indemnify, defend, and hold harmless the Platform, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in England and Wales.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform and updating the “Effective Date” at the top of these Terms. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
